The Sites are intended to facilitate access to services for registered users. The “Services” may include providing individuals with health and wellness information, pharmacy-related services, healthcare record collection and retention, scheduling and payment support, telecommunications support, and access to affiliated healthcare providers for consultations, assessments, treatment, and follow-up care.
These Terms of Use describe your rights and responsibilities when using the Sites and Services. Your access to and use of the Sites are subject to these Terms of Use, our Privacy Policy, and all applicable laws and regulations. In these Terms of Use, “you” and “your” refer to the individual using the Services.
If you do not accept and agree to these Terms of Use, you are not authorized to access or use the Sites or Services. The Sites and Services are continually under development, and WellVi reserves the right to modify these Terms of Use at any time without prior notice. Continued use of the Sites or Services following posted changes constitutes acceptance of those changes.
Use of these Terms also constitutes acceptance of Bask Health Inc.’s platform terms and applicable privacy policies located at bask.health and bask.bio.
Availability
Certain Services are only available to individuals located in states where we operate.
Eligibility
To use the Services, you must be at least 18 years old, located in a state where services are available, and agree to comply with these Terms of Use. Meeting these requirements does not guarantee eligibility for Services. WellVi and affiliated healthcare providers reserve the right to modify eligibility requirements at any time.
Requirements for Use
You must have compatible computing or mobile devices, internet access, and any necessary software in order to use the Sites. Standard internet and mobile carrier charges may apply.
Special Consent to Telehealth Services
Telemedicine involves the delivery of healthcare services through electronic communications and information technologies between a healthcare provider and patient who are not in the same physical location. Telemedicine may be used for diagnosis, treatment, follow-up care, patient education, and related services.
Telemedicine services may include electronic transmission of medical records, images, personal health information, audio/video communications, and other healthcare-related data.
The electronic systems used by the Services are designed to incorporate security measures intended to protect the privacy and integrity of health information.

WellVi understands the importance of privacy and confidentiality regarding your health information. Please review our Privacy Policy available through the Sites for information regarding how your information may be collected, used, and disclosed.
Your Relationship with WellVi
WellVi does not directly provide medical care or medical services. WellVi provides a technology platform that allows users to access affiliated healthcare providers and related healthcare support services.

By using the Services, you consent to receive communications, disclosures, notices, reports, and messages from WellVi, affiliated healthcare providers, pharmacies, and related service providers. It is your responsibility to review these communications and comply with any care instructions or recommendations provided.
Communications by Text Message and Email
By providing your phone number or email address, you consent to receive communications from WellVi regarding your account, orders, prescriptions, treatment, shipping updates, and other service-related matters. Promotional communications may also be sent where permitted by law and where consent has been provided.
You understand that text messages and emails may not always be encrypted and may involve some risk of unauthorized access or disclosure. By communicating electronically with WellVi, you accept these risks.
You may opt out of promotional SMS communications at any time by replying STOP. Standard carrier messaging and data rates may apply.
Consultative Services
Healthcare providers using the platform may provide consultations, assessments, recommendations, prescriptions, and treatment plans through telemedicine services. Providers may not have access to the same information available during an in-person examination. As a result, diagnoses and treatment recommendations may be limited or provisional.
You agree to provide complete, accurate, and current health information, including medications, allergies, symptoms, and medical history.
Certain medications or treatments may require in-person evaluation under applicable state laws.
Site Content
Except for direct communications from licensed healthcare providers, information available through the Sites should not be considered medical advice.
Registration and User Accounts
You may be required to create an account in order to access certain Services. You agree to provide accurate and current information and to maintain the confidentiality of your login credentials.
You are responsible for all activity occurring under your account and must notify WellVi immediately of any unauthorized use or security breach.
Access Rights and Prohibited Use
Subject to these Terms of Use, WellVi grants you a limited, personal, non-transferable, revocable license to access and use the Sites for lawful personal use only.

Termination

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLVI AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITES OR SERVICES.
Indemnification
You agree to indemnify and hold harmless WellVi, its affiliates, providers, employees, contractors, and service providers from any claims, liabilities, damages, or expenses arising from your use of the Services or violation of these Terms.
Pharmacy Services
If you receive a prescription through the Services, you may choose to use one of WellVi’s partner pharmacies where available. You authorize WellVi and affiliated healthcare providers to share necessary information with partner pharmacies for prescription fulfillment and related services.
Packaging and Fulfillment Restrictions
Certain medications may not be shipped in child-resistant packaging. You agree to store medications safely and out of the reach of children.
Payment
You agree to pay all fees associated with Services requested through the platform. By submitting payment information, you authorize WellVi and its payment processors to charge the applicable fees.
You understand that fees for healthcare services, pharmacy fulfillment, subscriptions, consultations, laboratory testing, and medications may be charged separately where applicable.
Special Notice to Medicare and Medicaid Beneficiaries
Government healthcare programs such as Medicare and Medicaid may not cover certain telehealth or pharmacy services offered through the platform. You agree that you are financially responsible for services and products provided through the Services unless otherwise required by law.
Governing Law and Dispute Resolution
These Terms of Use are governed by the laws of the State of Delaware without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in New York, New York, except where prohibited by law.
No Waiver
Failure by WellVi to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights.
Assignment
You may not assign your rights or obligations under these Terms of Use without prior written consent. WellVi may assign its rights and obligations at any time.
Asynchronous Telemedicine Informed Consent
By using the Services, you acknowledge and consent to participate in asynchronous telemedicine services where permitted by law. Asynchronous telemedicine may involve the submission and review of questionnaires, photos, messages, medical records, or other health information at different times rather than through a live interaction.
Potential risks include delays in treatment, technology failures, unauthorized access to health information, incomplete medical evaluations, and limitations associated with remote care.
Asynchronous telemedicine services are not emergency services. If you believe you are experiencing a medical emergency, call 911 immediately.
Healthcare providers determine whether your condition is appropriate for telemedicine-based treatment and no guarantees are made regarding outcomes, prescriptions, diagnoses, or treatment plans.
You understand that your medical information may become part of your medical record and may be shared as permitted by law, including for treatment, payment, healthcare operations, legal obligations, or safety-related concerns.
Call, Email, and Text Messaging Consent
You expressly consent to receive calls, emails, and text messages from WellVi, Wasef Health, affiliated providers, pharmacies, and service providers regarding your account, appointments, prescriptions, shipments, treatment, and related healthcare services. Communications may be sent using automated systems where permitted by law. Standard carrier messaging and data rates may apply.
This consent remains valid throughout your use of the Services unless withdrawn by you in writing.
